Great fusion between means producers of raising with the birth of the Konecranes Terex Plc



The two means producers of raising Terex Corporation and Konecranes have made official their plan of fusion that will lead in the constitution of the new society Konecranes Terex Plc, by right Finnish, that it will be participated for 60% from the shareholders of the Konecranes Finn and for 40% from the shareholders of the Terex American.

The project of fusion for union, that it is approved of unanimously by the boards of directors of the two companies, will have now to obtain the favorable ballot of the shareholders of both groups and it previews that it will be carried to term in the course of the first semester of the next year. The transaction previews that the shareholders of Terex receive 0,80 set in action of Konecranes for each Terex action in they possession.

The new society will have headquarters to Hyvinkää, in Finland, and to Westport, in the USA, and will be quoted on the securities markets Nasdaq and NYSE. The current one chairman of Konecranes, Stig Gustavson, will so maintain this charge in the new society as the current managing director of Terex, Ron DeFeo, that it will become CEO of Konecranes Terex Plc.

Konecranes and Terex have evidenced that considering already joined the activity of the two groups in 2014 a total turnover of 9,98 billion dollars regarding 9,87 billion dollars in the year would be recorded precedence. The operating result would have been pairs to 639,7 million dollars (633,5 million in the 2013) and profit clearly to 370,6 million dollars (353,7 million).

In the first semester of the 2015 Konecranes Finn it has recorded a turnover of 1,01 billion euros, with an increment of +11.2% on the first half of 2014. The operating profit is piled to 28,1 million euros (- 21.7%) and the profit clearly to 17,0 million euros (- 16.7%). In the first six months of this Konecranes year it has confiscated new orders for a total of 1,01 billion euros (+4.8%) and the value of the orderbook on 30 June has been attested to 1,10 billion euros, in increase of +6.8% regarding on June 30, 2014.

In the first six months of the 2015 Terex Corporation it has totaled a turnover of 3,32 billion dollars, down of the -10,4% regarding the first semester last year. The operating profit has been of 192,5 million dollars (- 18.4%) and the profit clearly of 85,8 million dollars (- 50.9%). The value of the pocketbook orders of the Terex on 30 June was pairs to 1,83 billion dollars regarding 2,14 billion on March 31, 2015 and 2,20 billion on June 30, 2014.
