Yesterday the major shareholders of Chilean shipping company Compañía Sud Americana de Vapores (CSAV), on the one hand Marítima de Inversiones (Marins) which belongs to Grupo Claro Chile and the Chilean group Luksic other through the branches Quiñenco, Inmobiliaria Norte Verde and Inversiones Rio Grande, signed a pact to share on 1,175,988,498 shares of CSAV, representing 41.2630% of the subscribed capital of the company of a total of 2,849,982,871 shares were issued. The pact is related to the 202,926,403 shares owned Quiñenco, 162,341,611 shares of Inmobiliaria Norte Verde, 222,726,235 shares of Inversiones Río Bravo and 587,994,249 shares owned by Marins. These shares represent all shares owned by groups of CSAV and Quiñenco Marins.
The pact, which has a duration of 15 years, states that the group consists of the parent groups Quiñenco Marins and exercise control over the CSAV acting in a coordinated and mutually agreed. In addition, the pact establishes a period of the lock-up period of 18 months during which subscribers can not transfer or dispose of in any form, directly or indirectly, for any reason and CSAV shares in their possession, including the exchange or the exchange of shares. The agreement also establishes a stock right of first offer under which the shareholder who intends to sell its shares in CSAV is obliged to grant an initial purchase option to the other shareholders.
We recall that recently the Luksic group, has become a shareholder of CSAV earlier this year by acquiring 18% of capital ( of March 23 and April 7 , 2011).
