In the latest edition of its weekly bulletin, published today, the Competition Authority and the Market (AGCM) has announced the result of the acquisition by the consortium of Tirrenia Navigazione Italian Company (CIN), consisting by Marinvest, Grimaldi and Onorato.

The measure, which we publish below, explains that the operation does not fall within the scope of the Italian law, and that therefore "there is no need to adjudicate," but rather is a matter for the European Antitrust, "as use the conditions laid down in Article 1 of EC Regulation No 139/04, "that the EU regulation on mergers between companies.

VISTA la richiesta di informazioni, con relativa interruzione dei termini ai sensi dell'articolo 5, comma 3 del DPR n. 217/98, inviata a Compagnia Italiana Navigazione S.r.l. in data 3 giugno 2011;
VISTA la risposta alla richiesta di informazioni pervenuta in data 6 giugno 2011 e successivamente integrata in data 10 giugno 2011;
VISTI gli atti del procedimento;
CONSIDERATO quanto segue:


I. LE PARTI

1. Compagnia Italiana Navigazione S.r.l. (di seguito, CIN) è una impresa comune appositamente costituita, in data 22 novembre 2010, da Marinvest S.r.l., Grimaldi Compagnia di Navigazione S.p.A. e Onorato Partecipazioni S.r.l. per la partecipazione al processo di privatizzazione di ramo d'azienda di Tirrenia di Navigazione S.p.A. (Tirrenia) in Amministrazione Straordinaria preposto all'erogazione del servizio di collegamento di cui al regime convenzionale operato dalla stessa.
CIN non ha realizzato alcun fatturato nell'ultimo triennio.

2. Marinvest S.r.l. (di seguito, Marinvest) è la società holding di un gruppo di imprese attive nel settore del trasporto marittimo. Le due principali partecipazioni di controllo detenute da Marinvest sono quelle in MSC Crociere S.p.A. (società che commercializza in Italia i servizi di crociera di lusso MSC), Snav S.p.A. (di seguito, SNAV) Grandi Navi Veloci S.p.A. (di seguito, GNV).
SNAV fornisce servizi di trasporto marittimo prevalentemente a corto raggio, isole pontine, isole Eolie e arcipelago campano, e in misura minore verso altre destinazioni quali Croazia, Corsica, Sardegna e Sicilia. GNV, controllata congiuntamente con Investitori Associati SA (di seguito, IA), opera nel trasporto marittimo quasi esclusivamente di passeggeri su varie rotte all'interno del Mediterraneo, incluso il trasporto da/per la Sardegna.1 Marinvest è anche attiva in alcuni servizi marittimi connessi ed ancillari alle attività amatoriali in attività cantieristica e di riparazioni navali e in spedizioni industriali via terreste, area o navale tramite Aprile S.p.A..
Il fatturato consolidato mondiale realizzato da Marinvest, nel 2009, è stato di circa [100-472 milioni]2 di euro, di cui poco più dei due terzi realizzato in Italia pari a circa [100-472 milioni] di euro.
Il fatturato realizzato da GNV, nel 2009, è stato di circa [100-472 milioni] di euro, di cui circa due terzi realizzati in Italia.
Il fatturato consolidato mondiale realizzato da IA, nel 2009, è stato di circa [1-2 miliardi] di euro, di cui più dei due terzi realizzato in Italia pari a [1-2 miliardi] di euro.

3. Grimaldi Compagnia di Navigazione S.p.A. (Grimaldi) è a capo dell'omonimo Gruppo, specializzato nel trasporto Roll-on/Roll-off (cosiddette navi RoRo), auto, container, passeggeri e nei servizi di logistica integrati basati sul trasporto marittimo.
Il fatturato consolidato mondiale realizzato da Grimaldi nel 2009 è stato di circa [1-2 miliardi] di euro, di cui meno dei due terzi realizzati in Italia pari a circa [100-472 milioni] di euro.

4. Onorato Partecipazioni S.r.l. (Onorato) è una holding di partecipazione che svolge prevalentemente attività di assunzione, a scopo di stabile investimento e non di collocamento, di partecipazioni in altre società o enti, sia in Italia che all'estero, il coordinamento tecnico finanziario e l'assistenza gestionale delle società od enti nei quali partecipa, la compravendita, il possesso e l'amministrazione di titoli pubblici e privati sempre a scopo di stabile investimento e non di collocamento. Tra le società controllate da Onorato vi è Moby S.p.A. (Moby). Quest'ultima è soggetta al controllo congiunto di Onorato (che ne detiene una quota del 60% del capitale sociale) e di L19 S.p.A. (32%), facente capo a Clessidra SGR S.p.A., che gestisce il fondo di investimento riservato denominato Clessidra Capital Partners. Moby è a capo di un gruppo attivo principalmente nel settore del trasporto marittimo di linea di passeggeri, con o senza veicoli, e di merci (cosiddette navi Ro-Pax), in particolare, nei collegamenti da/per la Sardegna e con l'arcipelago Elbano.
Il fatturato realizzato da Onorato nel 2009 è stato di circa [100-472 milioni] di euro, interamente realizzati in Italia.
Il fatturato complessivo di Moby, nel 2009, a livello mondiale è stato di circa [100-472 milioni] di euro, più dei due terzi realizzati in Italia.
Il fatturato a livello mondiale, nel 2009, del Gruppo Clessidra è stato di circa [1-2 miliardi] di euro, più dei due terzi realizzati in Italia.

5. Tirrenia di Navigazione S.p.A. (di seguito, Tirrenia) opera nel trasporto marittimo di passeggeri e merci tra le Isole maggiori – Sardegna e Sicilia – e l'Italia continentale.
Tirrenia opera sulla base di una convenzione che stabilisce gli obblighi di servizio pubblico e l'entità dei relativi sussidi. La convenzione, è stata originariamente stipulata nel 1991 con l'allora Ministero della Marina Mercantile (oggi Ministero delle Infrastrutture e dei Trasporti); alla scadenza, prevista al 31 dicembre 2008, la convenzione è stata prorogata, nelle more del completamento delle procedure di privatizzazione del gruppo Tirrenia, fino al 30 settembre 2010, con legge n. 166/2009, ed è tuttora vigente a seguito dell'ulteriore proroga introdotta con D.L. 5 agosto 2010 n. 125, convertito in legge 1 ottobre 2010 n. 163, che ne ha prolungato l'efficacia fino al completamento delle procedure di privatizzazione della società Tirrenia. In data 10 marzo 2010 è stato approvato un nuovo schema di convenzione predisposto dal Ministro delle Infrastrutture e dei Trasporti di concerto con il Ministro delle Economie e della Finanze.
Il fatturato realizzato da Tirrenia nel 2009 è stato di circa [100-472 milioni] di euro, interamente realizzati in Italia.


II. DESCRIZIONE DELL'OPERAZIONE

6. L'operazione in esame, così come notificata in data 30 maggio 2011, riguardava l'acquisizione di Tirrenia da parte di Marinvest, Grimaldi e Onorato, per il tramite dell'impresa comune CIN, quale esito del processo di privatizzazione concretizzatosi, da ultimo, nell'ambito della procedura di amministrazione straordinaria alla quale Tirrenia è stata ammessa con D.P.C.M. del 5 agosto 2010.3

7. Tuttavia, sulla base delle informazioni trasmesse dalla Parte notificante, da ultimo in data 10 giugno 2011, sono intervenuti accordi tra alcuni dei soci di CIN e le relative controllate che si tradurranno, in un arco temporale di breve termine, in modifiche all'assetto proprietario dell'impresa comune.
In particolare, in virtù di un accordo sottoscritto tra Marinvest e la controllata GNV in data 27 maggio 2011, è stato pattuito che quest'ultima ha un diritto a subentrare nella partecipazione della propria controllante in CIN da esercitarsi entro la fine dell'anno in corso. Con un analogo accordo sottoscritto in data 10 giugno 2011, Moby ha un obbligo a subentrare nella partecipazione al capitale sociale di CIN detenuta dalla controllata Onorato entro il 30 novembre 2011.

8. Alla conclusione dell'operazione, pertanto, il controllo di Tirrenia sarà acquisito da parte di GNV, Grimaldi e Moby, per il tramite dell'impresa comune CIN.


II. QUALIFICAZIONE DELL'OPERAZIONE

9. L'operazione comunicata non rientra nell'ambito di applicazione della legge n. 287/90 e non è soggetta all'obbligo di comunicazione preventiva previsto dall'articolo 16, comma 1, della legge n. 287/90, in quanto ricorrono le condizioni di cui all'articolo 1 del Regolamento CE n. 139/04.

RITENUTO, pertanto, che l'operazione non è soggetta ad obbligo di comunicazione preventiva ai sensi dell'articolo 16, comma 1, della legge n. 287/90 e dell'articolo 26 del Decreto Legislativo 22 gennaio 2004, n. 28;


DELIBERA

che non vi è luogo a provvedere.

Le conclusioni di cui sopra saranno comunicate, ai sensi dell'articolo 16, comma 4, della legge n. 287/90, alle imprese interessate e al Ministro dello Sviluppo Economico.

Il presente provvedimento verrà pubblicato nel Bollettino dell'Autorità Garante della Concorrenza e del Mercato.
